SALES CONDICTIONS

1	OFFER
	The offer of the buyer does not bind him to perform the supply contract, being it susceptible of variations of its conditions until the definitive confirmation is given or the sale contract is concluded.

2	ORDER
	The order sent directly or through agents or representatives of the seller is binding only after having been duly accepted by the seller himself, who sends the order confirmation. Orders of value inferior to € 500 (Euro) will not be accepted.

3	DELIVERY
	The delivery time is always indicated in working days and starts from the date of the order confirmation. The delivery time is considered approximate in favour of the seller and anyway it has got a suitable time margin. Any responsability for damages is excluded when it is caused by late, early or non-delivery of the goods, partial or total.

4	COLLECTION OF THE GOODS
	The buyer is always obliged to collect the goods, even in case of partial consignments and even when the products are delivered before the agreed delivery date or after that.

5	INSPECTION
	Except if differently agreed between the parties, the inspection is performed at our premises, but the buyer has the right to request an authorization at the moment of placing the order and be present at the inspection.

6	PACKAGING
	The packaging is at the expense of the buyer and it is invoiced by the seller at cost price. The packaging is not accepted if returned.

7	INFORMATION DATA
	The weights, dimensions, capacity, prices, performance, colours and other data featured in the catalogues, leaflets, circulars, advertisements, illustrations and pricelists or other illustrative documents, as well as the characteristcs of the samples sent by him to the buyer, are only of an approximate character. These data have no binding value except if they have been expressly mentioned in the offer or in the seller's written acceptance. The manufacturer reserves the right to make at any time any modification which he considers appropriate to further improve the quality of his products.

8	DESPATCHED QUANTITY
	The seller reserves the right to modify the quantity of the goods to be delivered, altered so as to suit the standard packaging lots.

9	PRICES
	The packaging and the transport are charged at the price cost and are not bound to the offer or the sale contract, but can be subject to possible increases which should happen before the delivery.

10	MODIFICATION OF PRICES
	The offers and the order confirmations are made with reserve on the part of the seller of revising the prices in relation to the growing material or workforce costs, without any need of justifying the relevant calculations.

11	PAYMENT
	The payment of the invoices has to be effected directly to the seller's domicile, in the ways and within the time indicated on the same invoices. Possible payments made to agents, representatives and auxiliaries of the seller are not considered effected until those sums reach the seller. In the event of non-payment the seller reserves the right to interrupt the deliveries of the goods until the outstanding invoices have been settled.

12	COMPLAINTS AND GUARANTEES
	The complaints concerning the quality and quantity of the goods have to be addressed to the seller's domicile within 8 days from the receipt of the goods and have to indicate precisely the defects or non-conformities pointed out, otherwise it will be considered invalid. The sellers commits himself to the free substitution of the pieces which result to be defective only on condition that the complaint is presented within the above mentioned time limit and against return of the faulty pieces.

13	COMPETENT LAW/COURT
	For any condition which is not indicated in the sale contract the Italian Law will be referred to. For any dispute the only competent court is Brescia.
